Chapter one
Definitions
Article (1): DEFINITIONS
Unless the context hereof required otherwise, the following words and expressions shall bear
their respective meanings set opposite them.
Organization: shall mean the organization of Saudi Organization for
Industrial Estates & Technology Zones which was endorsed
by Council of Ministers decision No. (235) dated 27/8/1422H.
SOIETZ: shall mean the Saudi Organization for Industrial Real Estates
and Technology Zones.
The Board of Directors: shall mean the Board of Directors of SOIETZ.
Minister: shall mean the Minister of Commerce and Industry and the
Chairman of SOIETZ Board of Directors.
General Director: shall mean the General Director of SOIETZ.
Specified Industrial Estate: shall mean the existing industrial estate the public land about
which, requests are forwarded to the Supreme Economic
Council to approved it as industrial estate or technology zone or
as business and technology incubators and then authorized by
the Council of Ministers, or shall mean the land owned by the
Private Sector which is authorized by the Board of Directors as
industrial estate or technology zone.
Developer: shall mean the natural person or the legal person that is
contracted with SOIETZ to develop a Specified Industrial
Estate
Operator: shall mean the natural person or the legal person that is
contracted with SOIETZ for the rehabilitation, management,
operation and maintenance of a Specified Industrial Estate
Investor: shall mean the natural person or the legal person that is
contracted with SOIETZ to provide services in the Specified
Industrial Estate
Development contract: shall mean a contract signed between SOIETZ and a developer
to develop, operate, maintain and manage a Specified Industrial
Estate
Operation contract shall mean a contract signed between SOIETZ and an operator
to rehabilitate, operate, maintain and manage a Specified
Industrial Estate
Service rendering Contract: shall mean a contract signed between SOIETZ and the Investor
to provide and operate Installations or to render services at the
Specified Industrial Estate and its employees.

Existing Industrial Estates: shall mean the lands and locations designated for constructing
different industries in accordance with engineering planning,
which provides infrastructure, services and utilities required by
these industries.
Technology Zones: shall mean the lands and locations designated for the scientific
technology compounds in which the infrastructure and the
additional services required to form a developed scientific
environment encouraging invention, innovation and creativity
in various fields are provided to ensure the development of
knowledge, services and vital industries, and technology works
incubators and so forth.
License: shall mean a document edited and approved by the SOIETZ for
the developer or the operator or the investor in which the
license conditions, term and fees and otherwise are identified.
Inspection: shall mean checking and viewing the works and activities by
the concerned official to ensure the implementation is made
properly in accordance with the terms of the contract or license.
Infrastructure shall mean the basic works implemented on a land or site on
which a Specified Industrial Estate is constructed. This includes
the leveling and the construction of a network of roads, water,
sewage, electricity, gas, communication and others.
Usufruct: shall mean the benefit obtained by the operator or developer for
the development or operation of a Specified Industrial Estate or
part of its utilities or services or obtained by the investor under
a contract.
Beneficiary: shall mean the natural person or the legal person who benefits
from the services available in the Specified Industrial Estate
such as the owners of the factories.

Chapter Two
Objectives of SOIETZ
Article (2): Development Strategy of Specified Industrial Estates.
SOIETZ prepares and implements development strategy of the Specified Industrial Estates in
accordance with the industrial strategy applied in the Kingdom of Saudi Arabia.
Article (3): Construction of Specified Industrial Estates by the Private Sector.
1. SOIETZ prepares programs and plans to promote and activate the operation of
constructing Specified Industrial Estates. It also operates and maintains these estates
at highest efficiency available by Private Sector as well as provides best services and
set up legal and economic environment and facilitates procedures to achieve the goal.
2. Development, operation and maintenance of Specified Industrial Estates is offered by
Private Sector. Should this is not achieved and the development strategy of Specified
Industrial Estates was requiring necessity of development, SOIETZ shall handle the
development, management, operation and maintenance of these industrial estates.
SOIETZ can coordinate this with the concerned government authorities.
Article (4): Providing Utilities and Services.
SOIETZ shall coordinate with the related Authorities to provide all utilities and services to
boundaries of Specified Industrial Estates at the best possible prices and operational
competency according to time and volumes required.
Article (5): Encourage the construction of the Technology Zones.
SOIETZ encourages the construction and development of the new Technology Zones by
providing additional services in these zones and through motivating and encouraging the
investors to erect infrastructures suitable to the erection of technology Installations and
Incubators and calls for and attracts Universities and Scientific Research Centers and
intellectuals to participate in and to develop the national innovation system in the Kingdom of
Saudi Arabia and to set up the infrastructure and services to develop new industries.

Chapter Three
Internal Rules and Regulations
Article (6): Board of Directors.
1. The Board is considered the controlling authority over the SOIETZ affairs. It manages
its matters and takes all decisions in accordance with the structure. Further, the board
assumes formation of policies and rules which, controls SOIETZ’s works and the
follows up the implementation of these works. The Board also adopts plans and
executive programs, periodic budgets and controls its performance.
2. The Board appoints secretary and identifies his specialties and remunerations. The
specialties of the secretary include: preparation and arrangement of the Boards
sessions, recording minutes of its meetings and resolutions in regular records. The
secretary sends the invitation, which it′s dressed from the chairman of the board in
accordance with the Article 6 of the structure to hold the Board of Directors, to its
members at least two weeks prior to the assigned date. One week prior to the assigned
date, the secretary sends the agenda of sessions and memoranda about the presented
topics to the members of the board. Negotiations and decisions of the board are
recorded in minutes of meeting signed by the chairman of the board and the present
members. Negotiations of the board are confidential and should not be published
unless permitted by the chairman of the board.
Article (7): Internal Rules.
SOIETZ sets up the internal Rules and Regulations and are approved by the board to include
the following:
1. Organizational structure of the main executive units and functions at SOIETZ
identifies the missions and authorities of these units and functions in conformity
with SOIETZ nature of work which enables SOIETZ to practice its works
specified in the structure and its executive by-law.
2. Executive financial and administrative rules conform to SOIETZ nature of work.
These rules include financial and administrative powers, which are granted to the
different administrative levels at SOIETZ.
3. Rules for SOIETZ employees in agreement with its organization, which indicate
provisions, related to them such as, their appointment, promotion, salaries,
allowances, bonuses, duties and how their services are terminated.
Article (8): Appointment at SOIETZ.
Appointments at SOIETZ are made in accordance with the organizational structure and the
administrative powers approved by the Board of Directors. The administrative Department
should include sufficient expertise to perform the works tasked to SOIETZ. Furthermore,
SOIETZ is authorized to contract with other expertise other than its own to perform some of
these duties and works.

Article (9): Controls, Terms and Procedures applied at SOIETZ.
SOIETZ shall prepare the controls and forms, which regulate progress of work and are
approved by the Board of Directors. The following are some of the above controls, terms and
procedures.
1. Forms of contracts, which identify the relation between SOIETZ and the
developer, operator or investor to include terms of the license collection of
revenues and settlement of disputes.
2. Controls and terms of competitions, development contracts, operation and services
presented in the Specified Industrial Estates.
3. Terms and controls of designing buildings within Specified Industrial Estates,
environmental standard specifications, technical terms and safety requirements.
4. Standard terms relating to sale of SOIETZ lands after obtaining the Council of
Ministers’ approval pursuant to article five (Para.8) of the organization.
5. Any other topics relating to SOIETZ and Specified Industrial Estates unless
included in this organization and this by-law.
Article (10): Act under the rules and regulations applied at SOIETZ.
The Director General assumes the responsibility of circulating the internal rules and
regulations, which are approved by the board to the related authorities inside and outside
SOIETZ to be implemented and worked with accordingly.

Chapter Four
Identification of Specified Industrial Estates
Article (11): Fundamentals of Selecting Specified Industrial Estates.
The fundamentals required to identify certain cite or land to construct Specified Industrial
Estate or technology zone shall include the following:
1. Current utilization and distribution of land.
2. Environmental effects resulting from assigning the land or site for the industrial or
technological activity and the practical procedures available to reduce such effects or
the risks accompanied to identify the land or site.
3. Level of services available at land or site, social indications and costs resulted from
providing the required infrastructure.
4. Availability of financial support or compliance by third party to finance the erection
of the infrastructure.
5. Closeness of land or site from the inhibited centers, seaports and airports (suitability
of site or sites).
6. The justified need for an industrial land or a technology site and other competing,
industrial state and Technology Zones.
7. Area of land and site available for the current needs and the amount of the area
needed for future expansion.
8. The expected response level from developers, operators and investors from Private
Sector.
9. The positive effects for the development of land or site on the development of land in
general.
10. Consider objectives and policies of the national five years development plans such as
considerations of the boundary areas, reduction of pressure over the congested areas
and reducing immigration factors to main estates.
11. Achieve added value for the national income, which it conforms to the expected
investments when developing Specified Industrial Estates.
Article (12): Identification of Lands or Sites owned by Government as Industrial Estates
or Technology Zones.
1. To identify the lands or sites on which Specified Industrial Estates are erected, the
Director General shall take the following:
a. Identify many sites owned by government conforming to development plans as
Specified Industrial Estates.
b. Prepare comparative feasibility studies for the selected sites.
c. Prepare and submit recommendations to the board to be studied.

2. Addressing the Supreme Economic Council requesting approval and authorization
from council of Ministers to select the land or the site to be assigned as Specified
Industrial Estates.
3. The Director General after the land or the site is approved to be as Specified Industrial
Estate as stated in Para (2) above shall notify the board accompanied with a
recommendation including the site development terms of which for example:
a. Compliance of the concerned authorities to provide the needed services and
utilities to boundaries of the Specified Industrial Estate.
b. Matters related to private environmental and diagram controls.
c. Limits of activities authorized to be practiced in the land or the site.
d. Density possible for development.
e. Area of land or site that can be listed in the development contract.
4. The chairman of the board shall officially announce the Specified Industrial Estates in
the different media within a month effective his receipt of the recommendations from
the Director General.
Article (13): Identification of lands or sites owned by Private Sector as Specified
Industrial Estates.
1. Any natural person or legal person who has willingness or financial capability to put
the piece of land that he owns or authorized to dispose of to become part of the
Specified Industrial Estates may apply to SOIETZ to obtain a developer license of the
Specified Industrial Estate.
2. This application shall be submitted on a form issued by SOIETZ in which, all the
required terms, data, information and procedures as well as the financial
administrative and supervision on performance standards as the Specified Industrial
Estates shall be identified.
3. SOIETZ shall be provided with a certified copy of the title deed of the land. In case
the land is leased, the lease period should not be less than (30) years and the natural
person or legal person shall have the right to usufruct from the land as Specified
Industrial Estate.

Chapter Five
Issue of a license
Article (14): Receipt of Applications.
SOIETZ shall receive development or operation applications of any Specified Industrial
Estate or part of it to be reviewed for the purpose of issuing a license related to each case.
Article (15): Terms of issuing license.
Terms of issuing license shall include without limitation, the following:
- a. The minimum and maximum limit of areas and environmental terms.
- b. Works authorized to be practiced in the site.
- c. Providing SOIETZ with the periodic reports of accomplishment.
- d. Timetable for development and finance phases.
- e. Any other terms decided by SOIETZ.
Article (16): Studying the Applications.
An application for issuing a license shall be studied when the determined fees are discharged.
Article (17): Issuing the License.
The Board of Directors in its first meeting shall adopt its decisions in regard to license
requests when the information and data identified in the related forms are fulfilled. In case the
license request is rejected, the applicant shall be notified in writing with reasons of rejection.
Article (18): The License term.
The development or operation license issued by SOIETZ shall be effective for a period of
time not exceeding (40) years provided this period is renewed as agreed upon between both
parties.
Article (19): Appeal.
The applicant may appeal in writing to the Board of Directors when his application is
rejected. This appeal can be presented within thirty days effective the date in which he is
informed with the rejection supported with documents and proofs that are supporting his
appeal. In this case, an application shall be submitted again to the board to be reconsidered
and the board′s decision in this case shall be ultimate.

Article (20): Cancellation of the License.
The Board of Directors may cancel the license issued to developer, operator or investor
according to the terms stated in the development or operation contract agreement or in
services agreement.
Article (20): Developer or Operator Waiver of his rights.
1. The authorized developer or operator may not waive or assign all or part of his rights
related to development or operation of a Specified Industrial Estate to another party
unless previous approval is obtained by SOIETZ in accordance with the authorized
form.
2. SOIETZ approval on the application shall be subject to assignee fulfillment of the
required terms to approve as developer or operator of which is the proper financial
capability as estimated by SOIETZ that guarantee the interest of beneficiaries of
services.
3. The assignee shall apply to SOIETZ to obtain a developer or operator license as stated
in chapter five of this bylaw.
4. The same procedures followed in studying the developers and operators requests and
stated in chapter five of this bylaw, shall be applied on the application study followed
by SOIETZ in regard to waiver or usufruct process of a Specified Industrial Estate for
a developer or operator.
5. The assignee shall comply with terms and provisions of the contract assigned by and
between SOIETZ and developer or operator as if he is a party of this contract to
replace the assigner developer or operator. The assignee shall be subject to any change
made on the contract signed between SOIETZ and the assignee.

Chapter Six
Usufruct
Article (22): Usufruct.
Usufruct shall be granted to develop or operate or invest services of a Specified
Industrial Estate or part of its utilities under development or operation contracts or
rendering services done through competition.
Article (23): Pre-qualification of Developers, Operator or Investors.
1. Pre-qualification of developers, operator or investors shall be made by SOIETZ in
order to conduct such pre-qualification; SOIET shall publish this in the local and
international media with a description of the exhibited articles and calling
competitors for pre-qualifications on the following standards.
- a. Indication of previous works and experience.
- b. Financial capability.
- c. Technical skills.
2. SOIETZ shall review the information presented by the competitors and apply the
standards shown above in paragraphs (a-c) to classify the competitors and submit
recommendations to the board for pre-qualification of those competitors and to be
called to submit their competitive financial proposals.
3. The board shall review and study the Director General recommendations and
approve the pre-qualification results which are represented in a list including the
qualified competitors.
4. Those competitors who are previously qualified may enter the future qualification
competitions related to the competition for two years. Competitors will apply for
the pre-qualification using the regular ways after the competitions are elapsed.
Article (24): Contracts of Development or Operation or Rendering Services.
1. The maximum limit of Development or Operation or rendering service Contracts
term shall be (40) years. Contract may be renewed to other terms upon agreement
of both parties.
2. All rights and assets granted by SOIETZ under usufruct contract, as well as assets
owned by the developer or to operator or investor present within boundaries of the
land during contract term, shall be returned to SOIETZ at the end of usufruct
period unless there are rights and assets sold by the owner of the contract to a
lessee in the Specified Industrial Estate based on previous approval from SOIETZ
as detailed in the Development or Operation or rendering service Contracts.

Chapter Seven
Rights and Liabilities
Article (25): Rights of Development or Operation License Holder.
1. The holder of development license shall have the right to develop all or part of the
Specified Industrial Estate in accordance with the development plan approved by
SOIETZ for the Specified Industrial Estate or when usufruct contract is signed
between SOIETZ and developer.
2. The holder of operation license shall have the right to present a service or more
services in all or in part of the Specified Industrial Estate in accordance with service
level required to be presented which are shown in the development plan approved for
that estate and as per development or operation or rendering service contracts.
3. Both the holders of development and operation license shall have the following rights:
a. Renting the land within the Specified Industrial Estate to practice the
permitted activities.
b. Determination and collection of the rent funds or any other financial funds
approved by SOIETZ.
c. Marketing lands of the Specified Industrial Estate to customers in the
Kingdom of Saudi Arabia and abroad to be used in practicing the permitted
activities.
d. Set up the rules and procedures required to develop the Specified Industrial
Estate provided that these rules and procedures be approved by SOIETZ.
e. Contracting with qualified agencies to provide services.
f. Selling, converting or delegating his rights in the Specified Industrial Estate in
accordance with (article 21) of this bylaw.
Article (26): Liabilities of Development or Operation License Holder.
Development or operation license holder shall comply with the following:
1. Ensure that occupants of Specified Industrial Estate and the holder of the license
himself commit with terms of license, usufruct contract, and organization, provisions
of this bylaw and rules and regulations applied in the Kingdom of Saudi Arabia.
2. Construct and maintain the infrastructure properly. Provide services and marketing
support for Specified Industrial Estate in accordance with license terms and usufruct
contract terms signed with SOIETZ.
3. Provide services stated in usufruct contract or provide services to beneficiaries
approved by the developer or operator to provide them with and in conformity with
development and operation plan.

4. Allow SOIETZ representative to enter Specified Industrial Estate to make sure that
the developer or the operator is practicing their activities in accordance with the
license terms and services rendering contract.
Article (27): Initiate the development work of Specified Industrial Estate.
The new Specified Industrial Estate shall be productive within two years effective the date in
which the developer or the operator receives the license of developing the Specified
Industrial Estate.
In this regard, the expression (productive) shall mean the completion of development works
in the site and therefore, to initiate the productive activity in the industrial estate, while
having actual tenants (beneficiaries) in the industrial estate or zone is not provided to be
classified as (productive).

Chapter Eight
Violations and Penalties
Article (28): Internal Controls.
Each developer, operator or investor of the Specified Industrial Estate shall adhere to internal
controls and procedures, observe the industrial estates and providers of related services to
adhere to these controls and procedures and to report any violations about it to SOIETZ.
Article (29): Checking of Rights, Application of Performance Standards and Quality
Control.
1. SOIETZ representative shall have the right to check any of the Specified Industrial
Estates. SOIETZ shall notify the developer or operator of the concerned Specified
Industrial Estate of the check at least two days prior to the visit date.
2. In addition to what has been stated in para. (1) above, SOIETZ shall have the right to
check any Specified Industrial Estate without previous notice if SOIETZ become
convinced that provisions of this bylaw, developer or operator′s terms of the license or
any regulations are violated within the Specified Industrial Estate.
3. SOIETZ shall fully supervise the manufacturers′ applicability of construction
stipulations in the Specified Industrial Estate as well as stipulations of storage and
industrial wastes by applying construction diagrams and environment contaminators
and by full coordination and cooperation with the agencies concerned like Ministry of
Commerce, General Authority for Investment, Safety Departments in Civil Defense,
General presidency of Meteorology and environment protection either by its private
institutions or who is legally authorized to assume these works to apply these
standards, stipulations or control over the violations that take place during production,
operation or maintenance.
4. SOIETZ officers who are tasked in written authorization or whom he authorized shall
have the right to follow up the application of provision of the organization and this
bylaw. In this regard, they shall have the right to see the books, documents and all
papers related to beneficiaries′ activities, visit the sites at the Specified Industrial
Estates, control violations, and forward the required reports to the Director General.
SOIETZ officers who are tasked with these missions and duties shall maintain
confidentiality of the information and the documents they see.
5. SOIETZ shall in writing notify the developer, operator, investor or the concerned
agency of activity with his violation to provisions of the organization, this bylaw and
terms of license. He shall be granted a period of time to remove this violation, if not,
the penalty or fine stated in Article (30) of this bylaw shall be applied against him.

Article (30): List of Violations and Penalties.
SOIETZ shall prepare a list/statement or log of potential violations due to none-commitment
to any terms of contract, agreement or license signed between the developer, operator or
investor and SOIETZ. The Board of Directors shall determine fines, penalties and
procedures of applications against each individual violation. This shall be stated in
development or operation contracts, other service agreements signed with investors or in
licenses approved by agencies concerned.
Article (31): Dispute Settlement Committee.
In case a dispute may arise between SOIETZ and developer, operator, investor or agency of
activity and such dispute was impossible to be solved in amicable way, the board of director
shall form a committee to mediate with the developer, operator, investor to dissolve the
dispute as follows:
a. Director General.
b. SOIETZ legal Consultant.
c. Director from SOIETZ′s Board of Directors.
d. The Committee may ask for assistance from the related experts and
financially compensate them to help the Committee in performing its work
if needed.
The Committee shall set up the rules and procedures required to its function. It mission shall
be studying the violations, listening to arguments of those individuals to whom these
violations are attributed. Argue with their defense and suggest the proper actions. Decision of
violation shall be issued by the Committee.
Article (32): Penalties related to Violations.
Penalties stated in contracts, agreements and licenses shall be applied. The Director General
shall inform the violators of SOIETZ decision with regard to the violation. Type of violation
and amount of fine shall be determined and communicated to the violators by registered mail
where the signature date of the receipt or non-receipt of the registered mail shall be
considered as notification date of the decision. The violator who rejects the violation decision
may complain to Dispute Settlement Committee at Ministry of Commerce.

Chapter Nine
Revenues earned by SOITZ
Article (33): SOIETZ shall earn the following Revenues:
1. The revenue earned from developers and operators represented in 20% annually from
total revenue which is earned by the developer or operator for his development and
operation of the Specified Industrial Estate erected on a government land or on any
part or facility of it. This amount shall be furnished to SOIETZ by a cheque in
SOIETZ name during sixty days of each fiscal year end. All licensed developers and
operators shall provide the Director General with a copy of statements of losses and
profits which are audited by the legal accountant for the ended fiscal year to be
reviewed and approved by the concerned department at SOIETZ.
2. Revenue earned by SOIETZ for the administrative services presented to a private land
to be a Specified Industrial Estate. The Board of Directors shall determine the annual
amount for supervising and following up performance and for the application of the
standards. The owner of the land shall become the developer and operator of it and it
shall subject to provisions of the organization and this bylaw.
3. The financial fees determined by the Board of Directors to review development or
operation license request for any Specified Industrial Estate or for qualification to
provide services for the first time or when the license request is renewed or the
development, operation or qualification license is studied.
4. The Board of Directors determines the fines and penalties which are imposed on those
who violates the terms of contract, agreements and license signed with the or issued
by SOIETZ.
5. The amount collected for sites to construct service Installations or the financial
substitute represented in presenting service or renting a site to investor at the
Specified Industrial Estate or for presenting other services to any developer or
operator of a Specified Industrial Estate.
6. SOIETZ shall prepare a feasibility study to sell lands which SOIETZ owns in the
Specified Industrial Estates to the investors and owners of factories erected on these
lands. SOIETZ shall report fundamentals, rules, standards and the application
mechanism required to sell these lands and to obtain its approval thereof.
7. Other of which:
a. Financial support from Government.
b. Acceptance of donations and gifts.
c. Investments returns of SOIETZ revenues.

Article (34): Method of Payment.
Under the Director General approval payment of the amounts due from the developers and
operators which are stated in this chapter may be paid on regular installments.
Article (35): Amendment of Revenues.
The Board of Directors will periodically review the amounts mentioned in chapter nine of
this bylaw to reconsider its amendment upon Director General′s recommendations.
Chapter Ten
General Provisions
Article (36): Usage of Industrial Estates.
The Specified Industrial Estates are used for the objectives for which these estates are
constructed as stated in the organization and this bylaw. SOIETZ shall ensure that the
beneficiaries comply with the standards, technical, constructional and environmental terms
and specifications ……etc. In addition, SOIETZ ensures environmental protection is
maintained and coordinates with other government and private agencies to implement these
objectives.
Article (37): Authorized Activities.
The works and activities authorized by the concerned agencies and approved by SOIETZ to
be practiced are authorized to be practiced in the industrial estates.
Article (38): Sub-Contract Lease, Sale or Change of Business.
The License holder or any party contracted with SOIETZ may not sub-sell, rent or change its
activities unless approved previously in writing by SOIETZ. This shall be stated in the
development or operation contracts or in the license. SOIETZ shall have the right to
terminate the contract and bring in any reimbursements for damages occurred to it.
Article (38): Requirements for maintaining records
1. Each developer, operator and investor in the Specified Industrial Estate and each
commercial establishment or project in the Specified Industrial Estate shall provide
SOIETZ with statistical information to monitor the implementation process of work
programs at the Specified Industrial Estate. These statistics shall include information
about number and capacity of factories and establishments erected in the industrial
estate, number of employees, at the Specified Industrial Estate or technology Zone,

total constructed area and the total inhabited constructed area and any other
information or data required by SOIETZ.
2. SOIETZ shall gather and classify these statistics annually, prepare statistical forms
and distribute them to the developers and operators of the Specified Industrial Estates
as well as the traditional, technological industrial establishments and projects.
3. SOIETZ shall maintain confidentiality of the statistical information and shall publish
this information in a general non-readable manner as much as it can.
4. SOIETZ shall publish an annual report indicating development and operation
programs as well as work progress in the Specified Industrial Estates.
Article: (40): Offices for SOIETZ Officers at Specified Industrial Estates.
Each contracted individual and as requested shall comply to provide free offices with an
area not exceeding 500 square meter to be used by SOIETZ officers in each Specified
Industrial Estate. The contents and furniture of these offices shall be determined by the
General Director when the contract is obtained.
